4.1 Accurate Information

You agree to provide accurate, complete, and current information, including:

• Business registration documents
• Sustainability claims with supporting evidence
• Supplier declarations and certifications
• Any other documentation requested for verification

4.2 Evidence Authenticity

You are solely responsible for the authenticity of all documents and information submitted. GreenXguard verifies claims based on client-provided documentation.

4.3 CCPA Compliance

While we verify claims against CCPA guidelines, ultimate compliance responsibility rests with your business. We recommend consulting legal counsel for comprehensive compliance.

5. Payment Terms

5.1 Free Trial

We offer a 30-day free trial with full access to all features. No credit card is required to start the trial.

5.2 Subscription Fees

After the trial period, services continue at ₹2,999/year unless cancelled. Payment is due annually in advance.

5.3 Billing and Renewal

• Annual subscription automatically renews unless cancelled
• We'll notify you 30 days before renewal
• Prices may change with 60 days notice
• All fees are exclusive of applicable taxes

5.4 Refund Policy

Due to the nature of our verification services, we do not offer refunds for completed verifications. Service issues are addressed through our support channels.

6. Prohibited Activities

You agree not to:

• Submit false or misleading information
• Use GreenXguard verification for illegal purposes
• Attempt to reverse engineer our platform
• Share login credentials with unauthorized users
• Use our services to violate any laws or regulations
• Make sustainability claims that cannot be substantiated

7. Termination

7.1 By Client

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period.

7.2 By GreenXguard

We may terminate or suspend your access immediately if:

• You violate these Terms
• We suspect fraudulent activity
• Required by law or government authority
• You fail to pay fees when due

7.3 Effect of Termination

Upon termination:

• Your verification website will be deactivated
• Access to your account will be revoked
• Outstanding fees remain payable
• We'll retain verification records as required by law

8. Limitation of Liability

To the maximum extent permitted by law:

• GreenXguard's total liability shall not exceed the amount paid by you in the last 12 months
• We are not liable for indirect, incidental, or consequential damages
• We are not liable for any CCPA penalties incurred by clients
• Verification does not guarantee immunity from government inquiry

8.1 Indemnification

You agree to indemnify and hold harmless GreenXguard from any claims, damages, or expenses arising from:

• Your use of our services
• Your violation of these Terms
• Inaccurate information provided by you
• Any CCPA penalties or legal actions against your business

9. Intellectual Property

9.1 Our Intellectual Property

All GreenXguard trademarks, logos, and platform technology are our property. You may use our verification badge only as authorized.

9.2 Your Content

You retain ownership of all documents and information submitted. By submitting content, you grant us license to use it for verification purposes.

While the verification website content is yours, the platform and design remain our intellectual property.

10. Modifications to Terms

We may modify these Terms at any time. We'll notify you of significant changes via email or through our platform. Continued use after changes constitutes acceptance.

10.1 Service Modifications

We may modify or discontinue services with 60 days notice. We'll make reasonable efforts to minimize disruption.

11. Governing Law

These Terms are governed by Indian law. Any disputes shall be subject to the exclusive jurisdiction of courts in Mumbai, India.

11.1 Dispute Resolution

We prefer to resolve disputes informally. If needed, disputes will be resolved through arbitration in accordance with Indian Arbitration and Conciliation Act, 1996.
